License Agreement

This License Agreement ("Agreement") is entered into between the owner of the StaffTransfer software ("Licensor") and the individual or legal entity using the software ("Licensee").
1. Subject Matter
The Licensor grants the Licensee a non-exclusive, non-transferable right to use the StaffTransfer software application ("App") operating within the Bitrix24 Marketplace platform.
2. Permitted Use
The Licensee may:
- Use the App on one or more Bitrix24 portals to which it has been officially connected through the Marketplace.
- Use the App in accordance with its intended purpose — automated reassignment of tasks, CRM records, and business processes.
3. Restrictions
The Licensee may not:
- Copy, modify, or distribute the source code or compiled product without the Licensor's written consent.
- Reverse engineer, decompile, or otherwise attempt to obtain the App's source code.
- Sublicense, resell, or otherwise transfer rights to third parties.
- Use the App for purposes that violate applicable law.
4. Pricing and Monetization
The App is provided free of charge as part of a Bitrix24 Marketplace subscription. No additional fees are charged while an active subscription is maintained.
5. Disclaimer of Warranties
The App is provided "as is". The Licensor shall not be liable for any direct or indirect damages, data loss, or other harm arising from the use of the App.
The Licensor does not guarantee uninterrupted operation and may discontinue support or change functionality with prior notice through the Marketplace.
6. Intellectual Property
All rights to the App, including code, design, and documentation, belong to the Licensor. This Agreement grants no intellectual property rights beyond those explicitly stated.
7. Termination
This Agreement terminates:
- When the App is disconnected from the Licensee's portal.
- Upon the Licensee's breach of this Agreement.
- At the Licensor's initiative with at least 30 days' notice.
8. Governing Law
This Agreement is governed by applicable law. Any disputes shall be resolved in accordance with applicable legislation.
